On behalf of our client, a reputable corporate and financial services provider we are seeking a Head of Finance.
The Head of Legal is responsible for managing all legal matters across the company’s corporate services. Includes advising on international structuring, regulatory obligations, client onboarding, commercial contracts, and legal risk management. The role is client-facing and strategic, focused on enabling compliant, efficient, and secure service delivery across multiple jurisdictions.
Key Responsibilities:
1. Legal Advisory - Corporate & Structuring
Advise on the legal aspects of company formation, restructuring, cross-border transactions, and holding structures.
Provide legal input on corporate governance matters, shareholder arrangements, and group reorganizations.
Draft and review legal documents including service agreements, shareholder agreements, power of attorney, and client-related documentation.
2. Regulatory & Compliance Support
Interpret and apply relevant EU and local laws (e.g. AML/CFT, DAC6, GDPR, substance requirements) in coordination with the Compliance Department.
Assist in the development of internal policies, risk assessments, and compliance procedures from a legal perspective.
Keep management informed of upcoming legal or regulatory changes affecting service lines.
3. Contract Review & Risk Mitigation
Review, draft, and negotiate a broad range of commercial contracts and third-party service agreements.
Identify legal risks in service delivery and advise business units on appropriate mitigation.
Assist in managing disputes or regulatory inquiries in collaboration with external counsel.
4. Client & Transaction Support
Support onboarding and KYC reviews for high-value or complex client cases, including source-of-funds analysis and legal structuring notes.
Provide legal support to business development teams, especially in structuring cross-border corporate or financial transactions.
5. Collaboration & Team Support
Act as a legal resource to client service, tax advisory, and finance teams.
Oversee relationships with external legal advisors across jurisdictions.
Provide internal training and briefings on legal and regulatory matters as needed.
Requirements:
Law degree
At least 5–10 years of experience in corporate law
Strong understanding of Cyprus company law, EU regulatory frameworks, and cross-border structuring issues.
Experience working with international clients, HNWIs, or investment vehicles.
Excellent command of English (written and spoken); other languages a plus.
Strong commercial mindset and ability to work independently in a fast-paced, client-driven environment.
